Open Purchase to Deal Registration Upgrade Policy

Purpose

  We offer a clear, project-based fairness model to protect bid effort, prevent channel conflict, and preserve warranty integrity.

  We do not use territory preference. Conflict prevention is handled through project-level Deal Registration and scope/zone definition.

Key Definitions

- Open Purchase: Standard supply path available to any contractor. Open Purchase does not automatically include the owner-facing 15-year leak warranty.

- Registered Project: A project that follows our corrosion-control program and acceptance documentation workflow and may qualify for the owner-facing 15-year leak warranty.

- Project (definition): A specific job site/address (or bid package/permit). Deal Registration applies only to the registered scope/zone(s).

- Deal Registration: Project-level protection on a defined scope for a limited window (typically 90–180 days) starting upon approval.

- Active Pursuit (definition): Measurable, ongoing bid activity on the project/scope (e.g., bid invite, plan holder listing, RFI/addenda activity, bid date scheduling, or updated takeoff/estimating progress).

- Warranty Zone: The defined wet-system pipe zone(s) covered under the project's warranty certificate.

Two Ways to Buy (Two Lanes)

1) Open Purchase (Standard Supply)
  Open Purchase is available to any contractor as standard supply. It does not automatically include the owner-facing 15-year leak warranty.

2) Registered Projects (Program + Documentation + Owner-Facing Warranty)
  Registered Projects follow our corrosion-control program and documentation workflow. The owner-facing warranty certificate is issued only after the full acceptance documentation package is received and approved, and the 15-year term runs from handover.

Upgrade eligibility
  Open Purchase may be upgraded to a Registered Project only BEFORE commissioning/handover and only if the materials are traceable to the specific project and scope.

Upgrade requirements (minimum)

- Project information sufficient to issue a Project ID and define the scope/zone(s)
- Traceability evidence linking the Open Purchase materials to the project (e.g., PO/invoice and shipment records)
- Completion of program requirements and submission of the acceptance documentation package

Warranty issuance and start date
  Warranty coverage is issued by certificate after acceptance documentation approval. The 15-year term runs from handover. We do not backdate warranty.

Warranty Zone Integrity (No Mixing Rule)
  All wet-system piping within the designated warranty zone must be our program pipe unless we approve in writing. Use of non-program pipe within a warranty zone (including later modifications/additions) may void coverage in the affected area.

Deal Registration (Bid Protection)

- Protection window: typically 90–180 days- Start: upon approval (not retroactive)
- Scope: applies only to the defined registered scope/zone(s)
- During an active window, we will not quote the same registered scope to other contractors.

Anti-squatting / inactivity release

- Deal Registration protection applies only while the registrant is actively working the project.
- We may request reasonable proof of active pursuit.
- Registrations with no measurable progress may be released (for example, if there are no updates for 30 days).
- Extensions may require updated proof and confirmation of the current bid timeline.

Conflict Handling (When Upgrade Meets an Existing Deal Registration)

Priority order: Project-level Deal Registration (scope) overrides upgrades. If a scope is actively Deal Registered, we do not approve another registration for the same scope unless:

1) Assignment/Consent: the registrant assigns the registration in writing; or
2) Scope separation: the requesting contractor registers a clearly separated scope/zone; or
3) Release: the registration is released under our inactivity/no-progress rule.
